  • You buy a license to use the ATS software
  • The system runs on YOUR infrastructure (Vercel, Convex, Clerk)
  • You own your data - we never have access to it
  • 30-day money-back guarantee
  • Support included for 30-90 days depending on package
  • Software assists with compliance - not legal advice
  • Ontario law applies

The Agreement

This is the agreement between you (the purchaser) and Lemonbrand Inc. ("we", "us", "Lemonbrand"). When you purchase, deploy, or use Lemonbrand ATS, you're agreeing to these terms.

Written in plain English. No legal gymnastics required.


What You Get

Software License

You receive a perpetual, non-exclusive license to use Lemonbrand ATS for your business operations. This includes:

  • Full source code deployed to your infrastructure
  • All current features and functionality
  • Documentation and training materials
  • The right to modify the code for your own use

Deployment

We deploy the system to your own accounts:

  • Vercel - Frontend hosting
  • Convex - Database and backend
  • Clerk - Authentication

You create and control these accounts. We configure them during onboarding. After deployment, you have full administrative access to everything.

Support Periods

  • Starter: 30 days of support post-deployment
  • Professional: 90 days of support post-deployment
  • Enterprise: 90 days of support + priority queue

Support includes bug fixes, configuration help, and training questions. It does not include new feature development or customization beyond your package scope.

What You Own

Everything on your infrastructure. The deployed code, your candidate data, your job postings, your configurations - all yours. We have no access to your production systems after deployment unless you explicitly grant it for support purposes.


What You Don't Get

  • Resale rights: You cannot resell, sublicense, or white-label the software
  • Source code ownership: You have a license to use and modify, but Lemonbrand retains underlying IP
  • Unlimited support: Support is time-bounded per your package
  • Future features: Updates require an active maintenance subscription

Your Responsibilities

Infrastructure

  • Create and maintain your Vercel, Convex, and Clerk accounts
  • Pay hosting costs directly to those providers (typically $20-70/month)
  • Keep accounts in good standing
  • Manage your own backups (Convex provides automatic backups)

Compliance

Important: Lemonbrand ATS is a tool to help track and manage ESA compliance requirements. It is not legal advice. The software does not guarantee compliance.

You are responsible for:

  • Understanding and complying with O. Reg. 476/24 and the Employment Standards Act
  • Ensuring your job postings meet legal requirements
  • Actually sending notifications to candidates (the system reminds you; you must act)
  • Consulting with employment lawyers for compliance questions
  • Keeping your system updated with any regulatory changes

Acceptable Use

You agree not to:

  • Use the system for illegal purposes
  • Process data in violation of privacy laws
  • Attempt to reverse-engineer our proprietary components
  • Use the system to discriminate against candidates
  • Resell access to the system

Payment Terms

One-Time Purchase

  • Full payment due before deployment begins
  • Payment via credit card or bank transfer
  • All prices in CAD unless otherwise stated

30-Day Money-Back Guarantee

If the system doesn't meet your needs within 30 days of deployment completion, request a full refund. We'll remove the deployment and refund your purchase. No questions asked.

After 30 days, all sales are final.

Optional Add-Ons

  • Annual Maintenance ($1,200/year): Software updates, compliance updates, priority support
  • Priority Support ($2,400/year): Same-day response, phone support
  • Additional Training ($500/session): Extra training for new team members

Add-ons are billed annually and can be cancelled with 30 days notice.


Liability Limits

What We're Responsible For

  • Delivering working software as described
  • Fixing bugs reported during your support period
  • Providing documentation and training
  • Operating with reasonable skill and care

What We're Not Responsible For

  • Third-party service outages (Vercel, Convex, Clerk, Microsoft)
  • Your compliance decisions or legal outcomes
  • Data loss due to your account mismanagement
  • Ministry of Labour complaints or penalties
  • Indirect, consequential, or punitive damages

Maximum Liability

Our total liability is limited to the amount you paid for your license. If you paid $7,500, that's the maximum we're liable for under any circumstances.


Warranties

What We Warrant

  • Software will function as documented at time of delivery
  • Deployment will be completed within the stated timeframe (typically 5-7 business days)
  • Support will be provided during your support period

What We Don't Warrant

  • Specific business outcomes or ROI
  • Legal compliance (we provide tools, not legal advice)
  • 100% uptime (dependent on third-party infrastructure)
  • Compatibility with future platform changes

Termination

Your License Continues

Your perpetual license remains valid even if Lemonbrand Inc. ceases operations. The system runs on your infrastructure - it keeps working regardless of our status.

We Can Terminate Support If

  • You violate these terms
  • You use the system for illegal purposes
  • You fail to pay for add-on services

Termination of support does not affect your license to use the deployed software.


Intellectual Property

  • Your data: 100% yours. We never own or have rights to your candidate data, job postings, or business information.
  • Software IP: Lemonbrand retains ownership of the underlying software, frameworks, and methodologies.
  • Your modifications: Any modifications you make to the code for your own use are yours, but you cannot redistribute them.

Dispute Resolution

  1. Talk to us first: Email hello@lemonbrand.io. We'll respond within 48 hours.
  2. Mediation: If we can't resolve it directly, we agree to try mediation.
  3. Arbitration: If mediation fails, binding arbitration in Ontario, Canada.

Governing law: Province of Ontario, Canada.


Changes to These Terms

We may update these terms. Changes don't affect existing licenses - they apply only to new purchases. We'll note the update date at the top of this page.
